Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Popup platform ("Platform", "we", "us"). By creating an account or making a purchase on the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Role

Popup is an intermediary technology platform that enables independent sellers to create online storefronts, list products, accept payments, and manage orders. Popup is not the seller of record for any product listed on the Platform. All transactions are between the seller and the buyer. Popup facilitates the technology and payment infrastructure but does not own, warehouse, or ship any products.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into contracts under Indian law to use the Platform. By using the Platform, you represent that you meet these requirements.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Seller Responsibilities

Sellers who create stores on Popup are solely responsible for:

  • Accuracy of product listings, descriptions, images, and pricing
  • Timely fulfillment and shipping of orders
  • Handling returns, refunds, and customer support for their buyers
  • Compliance with all applicable Indian laws, including the Consumer Protection Act 2019, the E-Commerce Rules 2020, GST regulations, and FSSAI (for food products)
  • Not listing restricted or prohibited products
  • Maintaining their own privacy policy and terms of service for their store

5. Buyer Responsibilities

Buyers who make purchases through seller stores on Popup agree to:

  • Provide accurate shipping and contact information
  • Review the seller's product details, pricing, and policies before purchasing
  • Complete payment at the time of order placement
  • Direct product-related inquiries, returns, and refund requests to the seller
  • Not engage in fraudulent transactions or unjustified chargebacks

6. Payments and Fees

Popup facilitates payment processing through third-party payment gateways. By using the Platform:

  • Sellers agree to pay applicable platform fees and payment processing fees, which are deducted from order proceeds
  • All fees are disclosed before you begin using paid services
  • Popup platform fees are non-refundable, even if a transaction is later refunded between buyer and seller
  • Popup is not responsible for payment failures, delays, or disputes with payment gateway providers

7. Prohibited Activities

You may not use the Platform to:

  • List or sell illegal, restricted, or infringing products
  • Engage in fraudulent, deceptive, or misleading practices
  • Interfere with or disrupt the Platform's operation or security
  • Attempt to gain unauthorized access to any part of the Platform
  • Collect information about other users without their consent
  • Use the Platform for money laundering, terrorist financing, or other illegal purposes

8. Intellectual Property

The Platform — including its design, software, features, and branding — is owned by Popup and protected by applicable intellectual property laws.

Sellers retain ownership of their store content (product images, descriptions, logos). By using the Platform, sellers grant Popup a limited, non-exclusive license to display and distribute their content solely to operate their store on the Platform.

9. Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind. Popup is not liable for:

  • Product quality, accuracy, legality, or safety — these are the seller's responsibility
  • Shipping delays, lost packages, or damaged goods
  • Disputes between buyers and sellers
  • Payment processing failures or gateway downtime
  • Any indirect, incidental, special, or consequential damages

To the maximum extent permitted by law, Popup's total liability for any claim shall not exceed the platform fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Popup, its officers, directors, and employees from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, your products or services (for sellers), or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, non-payment of fees, or at our discretion with reasonable notice. You may terminate your account by contacting us at support@mypopup.shop.

Upon termination, your right to use the Platform ceases immediately. We may retain data as required by law. Outstanding fees remain payable.

12. Dispute Resolution

For disputes between buyers and sellers, we encourage direct resolution. Popup may assist but is not obligated to mediate.

For disputes with Popup, you agree to first contact us to seek resolution. If unresolved within 60 days, disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act 1996, with the seat of arbitration in Hyderabad, Telangana.

13. Governing Law

These Terms are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

15. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
